The UAE has two company formation paths. One gives you unrestricted market access. The other gives you lower costs and potential tax savings. Here is how to choose.

When to Choose a Free Zone

A free zone is the right choice for most international entrepreneurs. You get lower costs, simpler setup, and potential tax savings. The trade-off — restricted mainland access — is irrelevant if your clients are international.

Choose a free zone if:

  • Your clients are international (consulting, SaaS, services, remote work)
  • You want the lowest possible setup cost
  • You do not need to sell directly to UAE consumers
  • You want 0% corporate tax on qualifying income
  • You are a freelancer, consultant, e-commerce seller, or tech startup
  • A flexi desk is sufficient — you do not need a physical office

When to Choose Mainland

A mainland LLC gives you unrestricted market access and credibility with larger UAE entities. It costs more, but the flexibility is essential for certain business models.

Choose mainland if:

  • Your customers are UAE-based consumers or businesses
  • You need to bid on government contracts
  • You operate a regulated activity (F&B, education, healthcare, real estate)
  • You need a physical retail or warehouse location on the mainland
  • You plan to hire 10+ employees (no visa cap on mainland)
  • Your industry partners or clients specifically require a mainland license

The Third Option: Dual Licensing

You do not have to choose exclusively. Several free zones now offer dual licensing — a free zone license combined with a mainland trading permit. This gives you the cost advantage of a free zone with the market access of the mainland.

SPC Free Zone issues a genuine dual license starting at AED 14,610. Meydan Free Zone supports mainland branches through Resolution No. 11 of 2025. RAKEZ offers a dual license pathway with mainland trading rights. DAFZA has dual licensing with Dubai DED.

The cost ranges from AED 5,000-15,000 on top of your base free zone package. For businesses that need both international tax optimization and UAE market access, this is usually the best path.

Can a free zone company sell to UAE mainland customers?

Not directly by default. Free zone companies are restricted to trading within their zone and internationally. However, several free zones now offer dual licensing or mainland trading permits — Meydan Free Zone, SPC Free Zone, RAKEZ, DAFZA, DMCC, and JAFZA all have pathways. Resolution No. 11 of 2025 also allows some free zone companies to open mainland branches. Cost: AED 5,000-15,000 for the additional permit.

Is a mainland company more expensive than a free zone?

Generally yes. A mainland LLC costs AED 25,000-50,000 in Year 1 (license, office lease, approvals) compared to AED 5,750-25,000 for a free zone. The biggest cost difference is the office: mainland requires a physical office (typically 200 sqm minimum, AED 30,000-100,000/year), while free zones accept flexi desks from AED 3,000/year. However, mainland companies pay no import duty on goods sold within the UAE.

Do both mainland and free zone companies allow 100% foreign ownership?

Yes. Since the 2021 Commercial Companies Law (CCL) amendment, mainland companies in most sectors allow 100% foreign ownership. Free zones have always allowed this. A handful of strategic sectors (oil, gas, banking, insurance, telecommunications) still require majority Emirati ownership on the mainland.

Which is better for tax: mainland or free zone?

Free zones, if you qualify. Qualifying Free Zone Persons (QFZP) pay 0% corporate tax on qualifying income — income from international clients and intra-zone transactions. Mainland companies pay 9% on all profits above AED 375,000. The catch: if a free zone company earns more than 5% of revenue (or AED 5 million) from mainland sources, the 0% rate is lost on all income.

Can I convert a free zone company to a mainland company later?

Yes, but it is a process. Most free zones allow conversion, though it requires cancelling your free zone license and applying for a new mainland license through the Department of Economic Development (DED). This takes 2-6 weeks and involves transferring visas, updating bank accounts, and potentially re-signing contracts. Some zones offer streamlined conversion paths — check with your zone authority.

A dual license allows you to hold both a free zone license and a mainland trading permit under one entity. SPC Free Zone offers a genuine dual license.
